Terms of Service

Effective October 19, 2026 · Prospecly Software Solutions Inc. (“Prospecly,” “we,” “us”)

These terms apply to the free custom website offer and the related hosting and maintenance service (the “Service”). By requesting the Service or accepting a website from us, you (“Client”) agree to them.

1. The offer

We design and build a custom website for your business at no build fee. The Service is hosting and maintenance of that website for $97 per month. The website is hosted by Prospecly at prospecly.com infrastructure and stays live only while the Service is active.

2. Fees, billing and renewal

• Hosting and maintenance is $97 per month, billed monthly in advance to the payment method you provide.
• The Service renews each month until cancelled.
• You are responsible for any taxes that apply. We will tell you before changing the price, with at least 30 days’ notice.

3. Term and cancellation

• There is no minimum term. You may cancel at any time by written notice to support@prospecly.com.
• Cancellation takes effect at the end of the paid billing period. No refunds for partial months.
• When the Service ends, the website is taken offline. For 30 days after cancellation you may request an export of your own content (text, photos, logo).

4. Ownership

• Prospecly owns the website, including its design, code and templates. No buyout is offered.
• You keep your content, logo, trademarks and domain name. We grant you a license to use the website only while the Service is active.
• On cancellation we will provide DNS instructions so you can point your domain elsewhere.
• You give us permission to host and display your content, and to describe the project (without your private information) in our portfolio unless you tell us not to.

5. Hosting and maintenance

The Service includes secure hosting, SSL, weekly backups and small content edits. The standard build is up to 5 pages with 2 rounds of revisions. Maintenance includes up to 1 hour of small edits per month, completed within 2 business days. Larger changes are quoted separately. We do not guarantee uninterrupted availability, and planned maintenance or outages by our providers may occur.

6. Client responsibilities

• Give us accurate business information and content, and the right to use it.
• Do not provide material that is unlawful, infringing or misleading.
• Pay on time. If a payment is more than 10 days late, we may suspend the website until the account is current.

7. Optional paid services

Plans above the Starter website (AI text-back, CRM, review campaigns, ad management and others) are optional and covered by a separate written agreement that sets their price and scope. Results from marketing and advertising services depend on your market and many factors outside our control, and we do not guarantee any particular number of leads, calls or jobs.

8. Text and email consent

If you submit our form and check the consent box, you agree to receive texts and emails from Prospecly about your request, including appointment confirmations and reminders. Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to opt out of texts and HELP for help. 9. Disclaimers and limit of liability

The Service is provided “as is.” To the fullest extent the law allows, we disclaim all implied warranties. Neither party is liable for indirect, special or consequential damages, or lost profits. Our total liability for any claim is limited to the fees you paid us in the 3 months before the claim arose.

10. Indemnity, governing law and general terms

You will defend and indemnify us against claims arising from content you provide or your breach of these terms. These terms are governed by the laws of the State of Wyoming, and any dispute will be brought in the state courts located in Sheridan County, Wyoming. These terms are the entire agreement for the Service. If a provision is unenforceable, the rest remains in effect. We may update these terms and will post the new version here with a new effective date.
